Terms of Use
Contents
Effective: 11 September 2026
1. Agreement
These Terms are between you and Monokrew Inc, a Delaware corporation ("Monokrew", "we", "us").
By using Monokrew you agree to these Terms. If you use Monokrew for an organisation, you confirm you are authorised to bind that organisation, and "you" means both you and that organisation.
If you do not agree, do not use the service.
2. The service
Monokrew is a platform where AI agents build, deploy and operate software on your behalf. It can create applications from your descriptions, host them, run workflows, and act inside third-party services you connect.
We may change, add or remove features. For changes that materially reduce core functionality, we will give 30 days' notice where reasonably practicable.
We may introduce new features, experimental features, beta services, or discontinue features where reasonably necessary to improve, secure, maintain or evolve the service. Unless expressly stated otherwise, beta or experimental features are provided on an "as is" and "as available" basis and may be changed or discontinued without creating any obligation to you.
3. Accounts and workspaces
Sign-in. You sign in through an identity provider. The first person to sign in for an organisation creates its Workspace and becomes its first Owner.
Workspace control. The Owner and any Administrators control membership, roles, settings and content. If you join a Workspace you did not create, that Workspace's controllers can access, modify and delete your content in it, and can remove your access.
Your responsibility. You are responsible for activity in your Workspace, for the security of the identity provider account used to access it, and for the actions of everyone you invite. We never see your password and cannot secure a compromised provider account.
Eligibility. You must be 18 or older.
You are responsible for providing accurate account information and keeping your account information reasonably current.
You must promptly notify us if you believe that your account or Workspace has been accessed without authorisation.
4. Your content
You own your content. You retain the rights you have in what you provide — including descriptions, prompts, files, data and other materials — and, subject to applicable third-party rights and licenses, in applications, code and outputs generated for you by Monokrew.
Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, store and process your content solely as reasonably necessary to provide, maintain, secure and improve the service you request, including operating your applications and executing your authorised workflows. This licence ends when you delete the content or close your Workspace, except for copies retained in backups or where retention is required by law or reasonably necessary to resolve disputes, prevent fraud or abuse, or protect our legal rights.
Third-party materials. Generated applications may contain or depend upon third-party software, libraries, services, models, datasets or other materials. Such materials remain subject to their applicable licenses and terms. Monokrew does not represent that every component of generated output is exclusively owned by you or is free of third-party restrictions.
Your warranty. You confirm you have the rights and permissions necessary to provide the content you provide and to instruct Monokrew to process, generate, deploy or otherwise use it, and that your content and instructions do not infringe anyone else's rights or break any law.
5. Connected services
You may connect third-party services. When you do:
- You authorise us and our agents to access those services within the scope you grant, and to read, write, create, modify and delete data there as needed to carry out your instructions.
- You confirm you have the right to grant that access.
- Your use of each service stays governed by your agreement with that provider, not by us.
- We are not responsible for third-party services — their availability, their changes, their security, their policies, or data loss caused by them.
- You are responsible for reviewing the permissions granted to Monokrew and its agents and for limiting those permissions appropriately.
- You are responsible for ensuring that connected services may lawfully be used for the actions you instruct Monokrew to perform.
You can disconnect a service at any time. Disconnecting stops future access; it does not undo actions already taken.
6. AI agents
Agents act autonomously. Once you authorise a project, workflow or connection, agents may take many actions without asking again each time. That is the point of the product.
Depending on the permissions, configuration and instructions you provide, an agent may generate or modify code, create or modify applications, deploy applications, access connected services, read or write data, execute workflows, modify databases, send communications, or perform other actions on your behalf.
You are responsible for what agents do on your behalf. Actions taken within permissions you granted are actions performed pursuant to your instructions and authorisations. That includes writes to your connected services, changes to your data, code that is generated and deployed, and messages sent through connected channels.
Agents may spend money in accounts you connect. Where you connect an account that holds a payment method or budget — including advertising accounts — an agent may create, adjust, pause or allocate spending within the limits you set. Amounts are charged by that third party directly to your own payment method; Monokrew does not hold, move or receive those funds. You remain responsible for the limits you set and for the spending that results.
You are responsible for configuring appropriate permissions, reviewing workflows and instructions, and determining whether autonomous execution is appropriate for your particular use case.
Output can be wrong. Generated code may contain errors, security vulnerabilities, defects, dependencies with licensing restrictions, or other undesirable characteristics. Generated content may be inaccurate, incomplete or misleading. Agents may misunderstand or misinterpret instructions.
You must review before relying. Do not deploy generated code to production, expose it to your users, modify production systems, or act on generated content without review appropriate to the risk. Monokrew is not a substitute for professional judgement, and generated output is not legal, financial, medical or professional advice.
Production data. Where the service acts on production databases or live applications, you accept that those actions may take effect immediately and may not be reversible. Where we provide confirmation steps, approval mechanisms, previews, logs or other safeguards, they reduce risk but are not guarantees against unintended actions or outcomes.
Agent limitations. You acknowledge that autonomous systems can produce unexpected results, including taking actions that differ from your intended outcome despite reasonable instructions or safeguards.
Credentials and permissions. You are responsible for credentials, API keys, tokens and permissions that you provide or authorise for use with Monokrew. You should grant only the minimum permissions reasonably necessary for the intended workflow.
7. Acceptable use
You may not use Monokrew to:
- break any law, or infringe anyone's intellectual property, privacy or other rights;
- build, host or distribute malware, ransomware, phishing sites, or tools whose purpose is unauthorised access to systems;
- access systems, accounts or data you are not authorised to access;
- send spam or unsolicited bulk messages through connected channels;
- generate or distribute content that sexually exploits minors, incites violence, or promotes terrorism;
- harass, defame or threaten anyone;
- attempt to circumvent usage limits, tier restrictions or billing;
- reverse-engineer the service, or use it to build a competing product;
- resell or provide the service to third parties except as expressly permitted;
- overload, disrupt or probe our infrastructure, or that of any connected service;
- misrepresent generated output as human-created where doing so is deceptive or unlawful;
- use the service to make decisions or take actions where applicable law prohibits such automated processing;
- use the service in a manner that creates an unreasonable risk of harm to individuals, systems, networks or property; or
- circumvent security, access controls or technical limitations of Monokrew or a connected service.
We may suspend or terminate immediately for violations of this section, without notice where the violation is serious or ongoing.
Where reasonably practicable, we may provide notice and an opportunity to remedy less serious violations before suspension or termination.
8. Plans, usage and payment
Plans and limits. Plans include allowances for tokens, compute, storage and deployed applications. Current plans and prices are published on the Monokrew pricing page.
Plans may impose limits on usage, storage, compute, deployments, agents, workflows, connected services or other resources. We may enforce technical limits necessary to maintain the service and the applicable plan.
Payment. Fees are charged in advance, are non-refundable except where required by law, and are exclusive of taxes, which you are responsible for.
Usage beyond your plan. Where a plan permits usage beyond its included allowance, overages will be billed at the then-current published overage rates applicable to your plan.
We may require you to enable overages or upgrade your plan before additional usage is permitted.
Price changes. We may change prices with 30 days' notice, effective at your next renewal. Price changes will not affect a prepaid period unless expressly agreed otherwise.
Non-payment. We may suspend the service for overdue amounts after reasonable notice. Suspended applications may stop serving traffic and workflows may stop executing.
Cancellation. You may cancel at any time. The service continues until the end of the paid period unless otherwise stated.
Following cancellation or termination, we will retain your content for 30 days, unless a shorter period is required for security or legal reasons or you request earlier deletion where technically feasible. After that period, we may permanently delete your content, subject to backups and any retention required by law or reasonably necessary for legitimate business purposes.
You are responsible for exporting your data before cancellation or termination.
9. Hosting and deployed applications
You are responsible for what you deploy — its content, its legality, its security, its operation, and its compliance with any law applying to you or your users.
You are responsible for configuring your deployed applications appropriately, including authentication, authorisation, secrets, data protection, application security and any required legal notices.
Availability. Unless you have a separate written service-level agreement with Monokrew, we do not provide a guaranteed uptime or availability commitment. Service availability may be affected by maintenance, infrastructure providers, third-party services, security events, network failures and other circumstances beyond our reasonable control.
Enterprise customers may receive separate service levels under a written agreement.
We may suspend a deployed application that violates Section 7, threatens our infrastructure, creates a security or legal risk, or is subject to a valid legal demand. Where practical we will notify you first.
Your users are yours. If your deployed application collects data from end users, you are responsible for determining your role and obligations under applicable privacy and data-protection laws, including providing an appropriate privacy notice, establishing a lawful basis for processing and obtaining any consent required.
10. Our intellectual property
We own the Monokrew platform, its software, models, designs, trademarks, documentation, interfaces, workflows, systems and other underlying technology, excluding your content and third-party materials.
These Terms grant you a limited, non-exclusive, non-transferable right to use the service during the applicable subscription period.
Nothing here transfers ownership of the Monokrew platform or its underlying technology to you.
You may not use our name, logo or branding without written permission, except to state factually that you use Monokrew.
You may not copy, modify, distribute, sell, lease, sublicense or commercially exploit the Monokrew platform except as expressly permitted by these Terms.
11. Feedback
If you give us feedback, suggestions, ideas or recommendations regarding Monokrew, we may use them without restriction or obligation to you.
You grant us a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify and incorporate such feedback into our products and services.
You retain ownership of any underlying intellectual property in your feedback, but we are not obligated to compensate you for our use of it.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE".
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that the service will be uninterrupted or error-free, that generated code will be correct, secure or fit for any purpose, that agents will interpret instructions as you intended, that applications will remain available, or that connected third-party services will remain available or behave consistently.
We do not warrant that:
- generated applications will satisfy your requirements;
- generated code will be free from vulnerabilities or defects;
- generated output will be accurate, complete or unique;
- an application will be compatible with every environment or third-party service;
- a deployment will remain continuously available;
- an agent will always take the action you intended;
- third-party services will remain available;
- data transmitted through third-party services will remain available or unchanged; or
- the service will detect every security, licensing, privacy or compliance issue.
You are responsible for independently evaluating the suitability of the service and its outputs for your intended use.
13. Indemnity
You will defend, indemnify and hold harmless Monokrew and its officers, directors, employees, contractors and agents from claims, damages, liabilities, losses, costs and expenses (including reasonable legal fees) arising from:
- your content;
- your deployed applications;
- your use of the service;
- actions performed by agents pursuant to permissions or instructions you provided;
- your connected services and credentials;
- your breach of these Terms;
- your violation of any law or third-party right; or
- claims arising from your products or services offered through applications deployed using Monokrew.
We may assume exclusive control of the defence of any matter subject to indemnification, and you agree to reasonably cooperate with us.
You may not settle an indemnified claim in a manner that admits fault by Monokrew or imposes obligations on Monokrew without our prior written consent.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, business, business interruption or goodwill — even if we were advised such damages were possible.
This includes losses arising from:
- generated code or content;
- actions performed by autonomous agents;
- deployment of applications;
- modification or deletion of data;
- use or failure of connected third-party services;
- security incidents attributable to your configuration, credentials or connected services;
- interruption or unavailability of deployed applications; or
- reliance on generated output.
Our total liability for any claim arising out of or relating to the service or these Terms is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim or $100.
These limits apply regardless of the theory of liability and even if a remedy fails of its essential purpose.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
Some jurisdictions do not allow certain exclusions or limitations, so some provisions may not apply to you.
15. Termination
By you. Cancel at any time through the service or by contacting us.
By us. We may suspend or terminate for breach of these Terms, non-payment, legal requirement, security risk, material risk to the service or others, or where continued provision of the service is no longer commercially or technically reasonable.
Except for serious violations, legal requirements, security emergencies or situations where immediate action is reasonably necessary, we will provide notice and a reasonable opportunity to fix the problem.
On termination. Your access ends, deployed applications may stop serving, and we delete your content according to the retention periods described in these Terms and our Privacy Policy.
You should export your data before terminating.
Sections 4, 6, 7, 10, 11, 12, 13, 14, 15 and 17, together with any provisions that by their nature should survive, survive termination.
16. Changes to these Terms
We may update these Terms.
For material changes, we will give 30 days' notice by email or in-product notice where reasonably practicable.
Changes required by law, security requirements, fraud prevention, or changes that do not materially reduce your rights may take effect sooner.
Continued use after the changes take effect means you accept the updated Terms.
If you do not accept a material change, stop using the service and cancel your subscription before the change becomes effective.
17. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.
Courts. Any dispute, claim or controversy arising out of or relating to these Terms or the service will be resolved exclusively in the state or federal courts located in the State of Delaware, and both parties consent to the personal jurisdiction and venue of those courts.
To the fullest extent permitted by law, each party waives any objection based on inconvenient forum or lack of personal jurisdiction in such courts.
Showcase
Monokrew may operate a public showcase of applications built on the platform.
Listing is opt-in. Your application appears only if you choose to list it. Listings are reviewed before they are published, and we may decline to publish any listing. Opting in from the application's details is your acceptance of this section. We keep a record of the wording you agreed to and when you agreed to it.
What a listing shows. A listing may display your application's name, a short description, the technologies used, an automatically captured screenshot of the publicly accessible application, and a link to it.
How we use a listing. By listing an application, you grant Monokrew a non-exclusive, royalty-free, worldwide licence to display the listing on monokrew.com and to use it in Monokrew's marketing and promotional content, including social media posts, blog posts and sales materials, while the application is listed. We may make reasonable adjustments (for example resizing or cropping the screenshot) but will not misrepresent the application or who built it.
You can remove it at any time. You may withdraw a listing yourself from the application's details. When you do, we remove it from the showcase within minutes, delete the stored screenshot, and stop using the listing in any new marketing content. Copies of the screenshot held in caches may remain accessible for up to 24 hours. Marketing content published before you withdrew (for example a social media post) is not recalled, although we will remove it from channels we control where reasonably practicable on request.
What we keep. After a withdrawal we keep the listing's name, description and technologies, and our review history, so that a re-listing keeps its review record. They are deleted when the application is deleted.
We may remove a listing at any time, without notice. Because a listed application is under your control and its content can change after review, we may remove any listing at our discretion, including where it is unavailable, no longer functioning, or no longer appropriate for a public showcase.
Your responsibility. You confirm you have the right to have the application displayed and linked publicly, and to grant the licence above (including on behalf of your organisation, where the application belongs to it), and that doing so does not infringe the rights of any third party or disclose anything confidential.
People in your application. Our screenshot shows your application's public home page as it appears when captured. By listing it, you confirm that page does not show any identifiable person, or any personal information about a person, unless you have that person's permission for it to be shown publicly and used as described above. Remove or blur such content before you list. You agree to indemnify Monokrew against claims arising from content your listed application displays.
18. General
Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Monokrew regarding the service and supersede prior agreements or understandings concerning the same subject matter.
Additional terms may apply to specific services, enterprise arrangements, beta programs, promotions or features. If an applicable written agreement expressly conflicts with these Terms, that agreement will control to the extent of the conflict.
Severability. If any provision is unenforceable, invalid or illegal, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in force.
No waiver. A failure to enforce any provision does not constitute a waiver of that provision or any other provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganisation, financing, sale of assets or similar transaction.
Force majeure. Neither party is liable for failure or delay in performing obligations caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, governmental actions, internet or telecommunications failures, infrastructure failures, cyberattacks, failures of cloud or third-party providers, or other events outside the affected party's reasonable control.
Notices. We will contact you at the email address associated with your account. Legal notices to Monokrew should be sent to legal@monokrew.com.
Electronic communications. You agree that we may communicate with you electronically regarding your account, billing, service operation, security, changes to the service and these Terms.
Relationship of the parties. These Terms do not create a partnership, joint venture, employment, agency or fiduciary relationship between you and Monokrew.
No third-party beneficiaries. Except as expressly stated in these Terms, these Terms do not create rights for any third party.
